Billing terms
How subscriptions, usage, payment authorization and final balances are handled. Rates belong in your order, not in this policy.

“ULTIM”, “we” and “us” mean the operator identified in the company identification. These documents apply together where expressly incorporated.
1. Rates and orders
License fees, included users, seats, numbers, allowances and usage rates are specified in the pricing schedule or order presented and accepted for your account. This policy establishes no fixed dollar rate. Country, currency, billing units, recurring period, commitments and included services must be identified before paid activation. The initial offering is for United States usage; other destinations require an applicable quoted rate. An illustrative cost per lead is an estimate, not a cap or guaranteed invoice.
2. Subscriptions and measured usage
Charges may include workspace subscriptions, seats, number rental, registration, verification, connected call minutes, messaging, AI responses, document/audio processing, storage and agreed support. Communication and AI-processing charges may both apply if disclosed in the accepted schedule. SMS is measured in segments depending on length and encoding. Calls may involve minimums, rounding, voicemail and transfer legs. WhatsApp fees may depend on destination, category, template and provider policy. Failed or unanswered attempts can incur charges where the provider bills for them.
3. Third-party costs and our rates
ULTIM pays infrastructure, AI, telecommunications and other providers and may include a margin in its rates. Rates are not represented as provider costs passed through without markup. Direct purchases in the customer’s own provider account follow that provider’s billing. An accepted order must identify separately added provider fees, deposits, minimums and overages. Provider changes do not authorize undisclosed or retroactive price increases. We communicate applicable price changes in advance as required by the order and law.
4. Separate payment authorization
Agreeing to these policies alone does not charge a card, initiate an ACH debit, start a paid subscription or authorize unlimited charges. Before automated payment begins, you must separately approve the applicable order and payment authorization through the enabled payment process. Subject to that authorization and law, we may collect recurring fees, usage, agreed balance replenishments, taxes and valid final charges through the designated payment method. Bank debits, variable amounts, notices, retries and revocation follow the authorization and network rules. Listing an account in a workspace does not authorize an arbitrary bank debit.
5. Balances, replenishment and spending controls
An order may use advance credit, periodic usage invoicing or expressly authorized automatic replenishment with disclosed thresholds and amounts. Alerts are informational unless the order establishes a hard limit. Provider reporting delays can cause usage to appear later. We may pause further billable use for insufficient credit, failed payment or a disclosed limit; this cannot recall already submitted traffic. Limits and automatic funding must be configured and approved before operating; this document does not implement them.
6. Taxes
Prices exclude applicable sales, use, communications and other transaction taxes unless stated otherwise. We collect and remit where legally required; the customer supplies accurate billing location and valid exemption documents and remains responsible for taxes it must account for directly. ULTIM remains responsible for taxes on its own income. International taxation requires separate review before service is offered elsewhere.
7. Cancellation and charges reported later
Request cancellation through the contact below, identifying the account and desired date. Cancellation takes effect under the accepted order and law and stops future renewals from the applicable effective date. You may request cancellation even if money is owed. You must pay accrued subscriptions, commitments and usage through that date, plus valid provider charges reported afterward relating to earlier usage or an expressly accepted surviving commitment. We identify the period and basis of late charges; cancellation does not authorize new usage or indefinite future subscription fees. Revoking payment authorization does not erase valid debt.
8. Billing questions, errors and refunds
Report a disputed item promptly with the account, date and reason; please aim for 30 days after the statement, without limiting longer statutory or payment-network rights. We investigate and correct duplicate, unauthorized or incorrectly calculated charges and issue an appropriate refund or credit. Refunds required by law remain available. Unless an order or law provides otherwise, consumed services, properly incurred third-party fees and unused portions of a committed period are nonrefundable. Poor conversion results alone do not establish a billing error. Pay undisputed amounts during review.
9. Records and service activation
Keep your order, rate schedule and authorization. Estimates do not substitute for itemized invoices. This policy describes permitted arrangements; it does not mean checkout, automated debits, metering or renewal controls are already enabled for every workspace. No payment service is activated by visiting this page or accepting account terms.
10. Accepted commercial scope and changes
The applicable Order identifies the subscribing Customer, service period and commercial scope. Additional users, numbers, destinations, features or capacity can create charges only under the accepted schedule or a separately approved change. A member’s technical ability to click an action is not an unlimited corporate payment mandate. The Customer must designate users with purchasing authority and manage their access. Renewal and price changes must follow the notice and approval requirements in the Order and applicable law; silence does not create a new authorization where affirmative agreement is required.
11. Number rental, verification and provider commitments
A number may carry recurring rental, registration, regulatory review, verification or other provider costs as disclosed in the Order. A number is generally provided as a right to use it subject to provider and regulatory conditions, not as an unrestricted property sale. Approval is not guaranteed and may be withdrawn by a provider. Porting, release, replacement and cancellation depend on provider capability, required records and any expressly accepted commitments. A workspace cancellation request must identify numbers or external subscriptions the Customer wants released; ULTIM will explain applicable consequences and documented surviving fees. This does not authorize undisclosed perpetual rental after effective cancellation.
12. Usage evidence, reconciliation and corrections
Where available, statements may use provider identifiers, timestamps, billing units and rate schedules to explain usage. A displayed estimate, delivery status, attempt count or lead count is not necessarily the same as a provider billing unit. Provider adjustments may increase or decrease previously reported usage; ULTIM will relate corrections to the affected period and applicable authorization. Customers may request an explanation of disputed charges without access to another customer’s information or privileged provider credentials. We will not knowingly bill the same ULTIM charge twice merely because a reporting event was retried.
13. Failed payment, suspension and collection
If an authorized payment fails, we may request an updated method, use a permitted retry or pause further paid use, subject to the accepted agreement and law. We may seek recovery of valid unpaid amounts through lawful procedures. Interest, penalties, collection costs or reinstatement charges apply only where expressly agreed and legally permitted, not by an undisclosed automatic assumption. The Customer remains responsible for charges caused by its authorized users or compromised credentials to the extent allocated by applicable law and the agreement; this is not an absolute waiver of rights concerning unauthorized debits or ULTIM’s own error.
14. Credits, prepayments and final statement
A credit or prepayment is applied under the accepted Order, including disclosed treatment on cancellation, expiration or account closure. No credit balance or promotional allowance is a promise of unlimited service. If a final statement cannot immediately include late provider reporting, ULTIM may issue a documented adjustment for previously authorized use, not new post-cancellation outreach. Overpayments and required refunds are handled under the refund provision and law. Cancellation of service and revocation of a bank or card authorization are separate requests; neither permits charging beyond an effective authorization or payment-network rule.
